Board of Directors (BOD)
Elected members of the Board of Directors (the “Board”) are part of the senior leadership of FEI. The Board is the primary policy-making authority for the overall organization and in addition to their statutory role, the Board is responsible for establishing Chapters, committees, councils or other internal organizational units. Similarly, the Board may establish affiliations with other external professional organizations on an international, national region or state basis.

With no more than 18 members, the Board is expected to further the aims of FEI as expressed by FEI’s mission statement and Strategic Plan, and to facilitate communication between FEI and its Chapters, committees and members.  The Board member associated with this charge include the Chair, the Vice Chair, the FEI President and CEO, the Immediate Past Chair, the Treasurer and the Secretary. Directors other than those described as Officers shall serve as at-large directors with full voting privileges.

Executive Committee (EC)
The Executive Committee (EC) serves as a consultative body for the Chair and is intended to provide continuity of direction for FEI. It serves at the direction of the Chair who shall assign specific oversight responsibilities to its individual members. The EC also has the authority to act on behalf of the Board, between Board meetings, on matters delegated to it by the Board, or upon matters deemed by the Chair or the President to require action and decision between Board meetings. Such actions of the EC shall be reported to, and therefore deemed ratified by the Board at the next Board meeting.

Members serving on the EC include the Chair, the Vice Chair, the FEI President, the Immediate Past Chair and one At-Large Board of Directors member.

Leadership Council (LC)
The Leadership Council (LC) serves as a resource to the Board concerning issues, programs and proposals being addressed by FEI. The LC is comprised of the Board of Directors, Standing Committee Chairs, Advocacy and Accounting Policy Committee Chairs, Action Team Chairs, Chapter Presidents and Chapter Presidents-Elect (or the next in line of succession to the Presidency).

The LC will meet three (3) times yearly - once in person in conjunction with the Annual Summit Leadership Conference and two (2) times by conference call following Board meetings. Chapter Leaders will still have face‐to‐face opportunities to meet and share best practices.

Standing Committees

Determines the compensation of the President, approves the compensation of staff officers/directors, and reviews/approves other compensation policies.

Oversees the financial reporting process and assures the objectivity of independent auditors. Principal duties include evaluating internal controls, recommending auditing firms, reviewing the financial statements/reports from independent accountants, and reporting of management responsibilities.

Budget & Finance
Provides guidance and oversees preparation of the annual budget, monitors performance, and makes recommendations for improved financial performance to the Executive Committee and to the Board.

Pension and Investment
Provides advice and counsel regarding the administration of FEI's Pension Plan, investment policy and the selection of investment managers for the Pension Plan and short and long-term investments.

Annually nominates a slate of officers and directors, and when vacancies occur, nominates interim replacements for those positions, reporting their activities and progress to the Board Chair.
