Michael (Mike) Mardy

Mike was, most recently,  the Executive Vice President,  Chief Financial Officer and Board Director of Tumi Holdings (NYSE:TUMI), a retailer of prestige luggage and travel accessories. Mike had been with Tumi since 2003, and led the IPO process in April of 2012. Tumi was sold to Samsonite in August of 2016. Currently, he is a member of the Board of Directors of Vince Holdings ( NYSE: VINCE) and LULUS Fashion Lounge where he serves as Audit Committee Chair and is a member of the Compensation and Governance Committees.  Mike has held several board positions during his career including True Leaf Brands (NASDAQ: TRLFF), David’s Tea (NASDAQ:DTEA) where he served as Audit Committee Chair and Governance Chair. He has also served on the Board of Directors of Green Mountain Coffee Roasters (NASDAQ: GMCR) where he had served as audit committee chair and a member of the compensation committee (2006-2016). He had previously served as Interim Chairman of the Board at GMCR. Mike has also served on the Board of Directors of Modus Link Global Solutions (November 2003- December 2013-NASDAQ: MLNK) where he was Audit Committee chair and served on the Compensation and Governance Committees .  He has also served as Board member and Audit Committee member for the Eden Institute for Autism based in Princeton, New Jersey. Mike has been on the NYSE Advisory Board and is a Trustee of the New Jersey chapter of the Financial Executives Institute. He also serves on the Board of Trustees of Princeton Hospital (Penn-Medicine).
 
 In March of 2016, the sale of GMCR to JAB (a European coffee company) was consummated. Both the Tumi and GMCR transactions amounted to $16 billion and represented significant premiums over weighted average trading prices for both stocks.
 
Mike was named CFO of the Year in 2012(Best Growth Manager) by NJBIZ Magazine. At Tumi, he served as an operating CFO with responsibilities which included logistics, information technology, consumer affairs, and sales administration, in addition to his financial and investor relations responsibilities.
 
Mike was named as one of 2015’s top 100 directors by the National Association of Corporate Directors. He has extensive experience in Board governance, regulatory matters, mergers and acquisitions, and audit and compensation issues. During his 25 years of board work, he has developed expertise in a wide range of corporate governance, regulatory, and securities law matters. 
 
Prior to joining Tumi in July of 2003, Mike was Executive Vice President and CFO of Keystone Foods LLC, a global manufacturer and distributor of food products and supplier to the quick service restaurant industry. During his tenure, Keystone was the world’s largest McDonalds supplier. From 1980 to 1996, Mike held various senior level positions with Nabisco, Inc., last serving as Senior Vice President and Chief Financial Officer of Nabisco Biscuit Company, the leading U.S. cookie and cracker manufacturer.  Earlier, he also served as Corporate Controller of Nabisco Brands the parent holding company.
 
Mike holds a BA from Princeton University and an MBA from Rutgers University. He started his business career with the international CPA firm of Coopers and Lybrand (now PWC). He is a CPA in the state of New Jersey and holds the Certified Global Management Accountant Certification. He is a member of the Financial Executives Institute, the National Association of Corporate Directors, The American Institute of Certified Public Accountants, and the New Jersey Society of Certified Public Accountants.

Mike resides in Princeton, NJ with his wife Karen and has two adult children.
