Position Summary:
BrightView LLC (“BrightView”) and its private equity sponsor, Shore Capital Partners (“SCP”) are seeking a Vice President of Mergers & Acquisitions (VP of M&A). BrightView is an outpatient provider of comprehensive services for treating Substance Use Disorder (“SUD”). BrightView’s holistic approach to treating the disease is based in a harm-reduction approach and putting the patients’ goals as the priority of care. The Company has grown from 4 centers in 2017 when SCP partnered with BrightView to more than 32 in February of 2021, spanning Ohio and Kentucky. Acquisitions are becoming more attractive for growth into new states. The VP of M&A is based in Cincinnati, OH at BrightView’s corporate headquarters.

This role will work closely with BrightView’s executive team, in particular the CEO and CFO, and will have high visibility into the board of directors and company strategy. BrightView is increasing its focus on acquisition growth to augment its strength of de novo development. In just 6 months, BrightView closed 3 acquisitions and maintains an active pipeline of multiple signed LOIs. Acquisition strategy is supported by SCP, a Chicago-based private equity fund focused on microcap healthcare investments. SCP partners with entrepreneurs and industry executives to grow successful businesses and has completed over 340 add-on acquisitions for its 34+ platform investments since 2010.

As a key contributor to the growth of BrightView, the VP of M&A is responsible for all deal-related activity of the organization. Key activities of the M&A team include maintaining an active pipeline of new opportunities, conducting preliminary due diligence to quickly focus on targets with the highest return on investment, leveraging BrightView’s cross-functional teams and third party diligence advisors to structure and close favorable transactions, and ensure smooth integration for 3-6 months post-close.

Essential Job Duties:
• Manage sourcing and execution of BrightView’s add-on acquisitions in identified strategic geographies.
• With the support of a Manager of Corporate Development, lead deal-related analysis, including financial modeling, due diligence, deal structuring and negotiations. Transactions will be supported by a full slate of third-party advisors, including legal, accounting, insurance, medical billing and others as necessary.
• Oversee the development and maintenance of robust pipeline of attractive acquisition targets with the assistance of BrightView’s Manager of Corporate Development, Chief Medical Officer, and other resources.
• Establish and maintain scalable tools to ensure activities are well-documented, communicated and leveraged by all contributors to the activity.
• Lead debt financing activities necessary to quickly complete acquisitions with favorable terms.
• Develop in-depth investment memoranda and present to senior management and key members of the board of directors regarding rationale of acquisitions.
• Lead the creation and coordination of critical procedures required to effectuate acquisitions for regulatory and contractual requirements.
• Engage cross-function operational teams prior to close of transactions to ensure successful integration post-close.
• Manage junior corporate development resources as appropriate and ensure appropriate levels of staffing, training and work product.

Qualifications:
This is an excellent position for an individual from a top tier graduate program or has 2+ years of buy-side deal execution experience within a private equity firm who has broader corporate development or executive management aspirations. The successful candidate will be motivated to execute the investment thesis of this high-growth company in a rapidly expanding and developing market, and will possess the following qualifications:
• Minimum of 5 years of total work experience, including 2-3 years of Private Equity/Corporate M&A deal experience; experience within healthcare sector, particularly in Medicaid and Medicare environment, is preferred.
• Ability to lead a deal process from initial screening to engaging with owners to negotiation to closing of transaction.
• BA/BS degree in Economics, Finance or a business-related major.
• Advanced Microsoft Excel, Powerpoint and Word skills; deep database analysis is preferred.
• Strong written and oral presentation skills; ability to present concisely and with detail.
• Strong interpersonal and communication skills; experience in effectively communicating key data, including presentations to co-workers and business owners.
• Strong organizational skills; must be able to manage and prioritize multiple business objectives and projects with proper sense of urgency.
• Strong desire to learn and serve as a valuable team member.
• Ability to work in an autonomous, entrepreneurial and fast-moving environment; willing to adjust schedule to the needs of the transactions.
