Learn the basic structure of a venture capital investment transaction through the review of a term sheet, and hear how investors and companies negotiate key terms in a point / counter-point format with an experienced venture capital investor and legal counsel.  Following the program, participants should be able to:
  • Identify key terms used in venture capital investment transactions
  • Identify the drivers and motivators for investors in negotiating such transactions
  • Identify the key concerns and motivations for companies when negotiating such transactions
